Conrad & Bischoff Inc., a market leading retail, commercial, wholesale and lubricant business with operations in Idaho, announced today that it has entered into an acquisition agreement with Parkland Corporation (“Parkland”) through its U.S.-based subsidiaries (“Parkland USA”).  Parkland is one of North America’s and the Caribbean’s fastest growing independent suppliers and marketers of fuel and petroleum products.

Headquartered in Idaho Falls, Conrad & Bischoff is one of the largest fuel distributors in Idaho, with operations concentrated in Idaho and western Wyoming with additional distribution into parts of Utah, Nevada, and Montana. Operations include:

Retail:

Conrad & Bischoff owns and operates 17 P66-branded retail sites (including one Travel Centre) in three states (ID = 14, WY = 2, UT = 1). The Company also operates two Shell-branded retail sites in Jackson, WY and Elko, NV (properties are leased). All retail backcourts are branded with C&B’s proprietary brand “KJ’s Super Stores”. 15 locations have carwashes and three have a QSR offering. The Travel Centre includes a cardlock and seven other retail sites are equipped to serve fleet customers and are a part of the CFN network.

Commercial (incl. Wholesale):

Terminals: Conrad & Bischoff owns and operates two terminals in Nampa, ID, and Idaho Falls, ID, with a combined tank storage capacity of 8.0MMG (7.2MMG is allocated to diesel). Each terminal has rail connectivity with a combined capacity of 88 rail cars. The Company owns and operates one cardlock on the Nampa, ID property.

Bulk Plants: Conrad & Bischoff owns and operates two bulk plants in Idaho Falls, ID and Jackson, WY.

Dealer Business: Supplies fuel to 39 dealers (P66 = 36, Marathon = 2, Shell = 1), in 3 states (ID = 33, WY = 4, MT = 2).

Lubricants: ExxonMobil lubricants distributor, plus a selection of ancillary products. Operates one Mobil 1 Lube Express℠ location adjacent to the Idaho Falls bulk plant.

The acquisition is expected to close in the second quarter.

Conrad & Bischoff will operate under Parkland USA, a division of Parkland, comprising several of Parkland’s wholly owned subsidiaries, and operate as its own Regional Operating Center.
